Welcome to Orlando Laser Shop. These Terms & Conditions ("Terms") govern your access to and use of the websites, products, and services operated by J&Y Industries LLC, doing business as Orlando Laser Shop ("we," "us," or "our"), including but not limited to orlandolasershop.com, shop.orlandolasershop.com, and any associated web applications, mobile applications, or Firebase-powered applications (collectively, the "Services").

By accessing or using our Services, placing an order, or engaging us for event or corporate services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Eligibility

You must be at least 18 years of age to use our Services, place orders, or enter into agreements with us. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

2. Products & Services

Orlando Laser Shop provides personalized laser-engraved products including, but not limited to, cutting boards, charcuterie boards, drinkware (tumblers, wine glasses, whiskey glasses), coasters, and other personalized gift items. We also provide corporate promotional products, live event engraving services, and lead capture services for corporate events.

Personalized Products: Because our products are personalized and made to order, all sales of personalized items are final. We do not accept returns or exchanges on personalized products unless the item is defective or the error is on our part. Please review all personalization details carefully before submitting your order.

Product Descriptions: We make every effort to display product colors, materials, and details as accurately as possible. However, actual product appearance may vary slightly due to differences in monitors, display settings, natural material variations (particularly in wood products), and the laser engraving process.

3. Orders & Pricing

All prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to correct pricing errors. If a pricing error affects your order, we will notify you and give you the option to proceed at the correct price or cancel your order for a full refund.

Placing an order constitutes an offer to purchase. We reserve the right to accept or decline any order for any reason, including product availability, errors in product or pricing information, or suspected fraudulent activity.

Volume & Corporate Pricing: Volume pricing tiers are available for bulk and corporate orders. Contact us for a custom quote. Volume pricing is subject to separate agreements and may require advance payment or purchase order documentation.

4. Payment Obligations & Collections

Payment is due at the time of order for consumer purchases. For corporate and B2B clients, payment terms are as specified in the applicable service agreement, invoice, or purchase order. You are responsible for full payment for all products and services ordered.

Outstanding Balances: If payment is not received when due, we reserve the right to use the contact information you have provided — including name, email address, phone number, and mailing address — to contact you regarding your outstanding balance. We may also research and use publicly available information (such as public records, business directories, and similar sources) to obtain updated contact details if we are unable to reach you through the information originally provided.

Internal Collections: All collection efforts are conducted internally by Orlando Laser Shop. We do not sell, assign, or transfer your account or personal information to third-party debt collection agencies.

Legal Remedies: If an outstanding balance remains unresolved after reasonable collection efforts, we reserve the right to pursue all available legal remedies, including filing a claim in the appropriate court in Orange County, Florida. In the event legal action is necessary, you agree to be responsible for all reasonable costs of collection, including court costs and attorneys' fees to the extent permitted by applicable law.

5. Shipping & Delivery

We offer fast 2-day shipping on most orders, with local same-day delivery available in the Orlando area when possible. Shipping times are estimates and are not guaranteed. We are not responsible for delays caused by carriers, weather, customs, or other factors outside our control. Risk of loss and title for items purchased pass to you upon delivery of the items to the carrier.

6. Custom Artwork & File Requirements

For custom logo and artwork orders, you must provide vector files in .AI, .EPS, or .SVG format. Raster files (JPEG, PNG, etc.) are not suitable for laser engraving and will require conversion, which incurs an additional fee starting at $25.00. We will notify you of any conversion fees before proceeding.

Copyright & Ownership: By submitting artwork, logos, or designs to us, you represent and warrant that you own or have obtained all necessary rights, licenses, and permissions to use and reproduce the submitted content. You agree to indemnify and hold harmless Orlando Laser Shop from any claims, damages, or expenses arising from copyright infringement or unauthorized use of intellectual property in designs you submit. We reserve the right to refuse any order that we believe may infringe on third-party intellectual property rights.

7. Event Services

When we provide live event engraving or lead capture services, the terms of engagement are governed by the service agreement between Orlando Laser Shop and the event client (company or organization contracting our services). Event attendees who interact with our services at events are subject to the privacy practices described in our Privacy Policy.

Event lead data collected through our Firebase applications is the property of the contracting event client. We retain event data for a maximum of six (6) months, after which it is permanently deleted from our systems.

8. Communications Consent

By providing your phone number, email address, or other contact information, you consent to receiving transactional communications from us related to your orders, projects, quotes, and business inquiries. These communications may be sent via phone call, text message (SMS/MMS), or email.

Call Recording: Phone calls with our business may be recorded for quality assurance, training, and dispute resolution purposes. By calling us or receiving our calls, you consent to recording. See our Privacy Policy for details.

Text Messages: Our text communications are transactional and operational in nature. You may opt out at any time by replying STOP. See our SMS Terms & Conditions for complete details.

9. Intellectual Property

All content on our websites, including but not limited to text, graphics, logos, images, product designs, software, and the "Orlando Laser Shop" brand name, is the property of J&Y Industries LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, display, or create derivative works of any content from our websites without our prior written consent.

10. Prohibited Uses

You agree not to use our Services to: violate any applicable law or regulation; infringe on intellectual property rights of others; submit false, misleading, or fraudulent information; submit designs containing obscene, defamatory, or hateful content; attempt to gain unauthorized access to our systems or data; interfere with the operation of our websites or services; or use our services for any illegal purpose.

11. Limitation of Liability

To the maximum extent permitted by applicable law, J&Y Industries LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of our Services, products, or these Terms. Our total liability for any claim related to our products or services shall not exceed the amount you paid for the specific product or service giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless J&Y Industries LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: your use of our Services; your violation of these Terms; your violation of any third-party rights, including intellectual property rights; or any content or designs you submit to us.

13. Disclaimer of Warranties

Our Services and products are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our websites will be uninterrupted, error-free, or free of harmful components.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Orange County, Florida. You consent to the personal jurisdiction of these courts.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our websites with an updated "Last Updated" date. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms.

17. Entire Agreement

These Terms, together with our Privacy Policy, SMS Terms & Conditions, and Cookie Policy, constitute the entire agreement between you and J&Y Industries LLC regarding your use of our Services, superseding any prior agreements or communications.
